These Terms & Conditions ("Terms") govern your access to and use of CommodityOS. By creating an account, you agree to these Terms.
1. Acceptance of terms
By registering for or using CommodityOS, you confirm that you have authority to bind your organization and accept these Terms on its behalf.
2. Description of service
CommodityOS provides deal rooms, counterparty verification, contract workflows, commission locking, and escrow coordination for commodity transactions. CommodityOS is a workflow and infrastructure platform — it is not a broker, dealer, bank, or party to your underlying commercial transactions.
3. Eligibility & account registration
You must provide accurate registration information and keep it up to date. You are responsible for activity that occurs under your account and organization.
4. Verification (KYC/AML)
We may require identity, corporate, and financial verification (KYC/AML) before allowing full use of certain features, including escrow. We may suspend access if verification is incomplete, inaccurate, or fails our checks.
5. Deal rooms & contracts
Contract templates (NDA, NCNDA, LOI, SPA, and similar) are provided as a convenience and do not constitute legal advice. You are responsible for ensuring any contract you execute is appropriate for your transaction.
6. Commission locking
Once a commission structure is locked by all relevant parties, it is intended to be immutable for that deal. You are responsible for the accuracy of commission entries before locking.
7. Escrow & payments
Escrow funding, milestone release, and payouts are coordinated through our third-party escrow and settlement partners. A platform fee applies to escrow releases as disclosed in the product. Bank or wallet details you register are transmitted directly to our payment partner and are required before escrow payouts can be made.
8. Subscription plans & billing
Paid plans are billed in advance on a recurring basis through our payment processor. Fees are non-refundable except as required by law. We may change plan pricing or features with advance notice.
9. Prohibited conduct
You may not use the platform to circumvent a locked commission, to misrepresent your identity or authority, to upload unlawful content, or to interfere with the security or operation of the platform.
10. Intellectual property
CommodityOS and its content, other than data you upload, are owned by us or our licensors. You retain ownership of the deal data and documents you upload.
11. Disclaimers
The platform is provided "as is" without warranties of any kind. We do not guarantee the creditworthiness, identity accuracy, or performance of any counterparty, even where a verification badge is shown.
12. Limitation of liability
To the maximum extent permitted by law, CommodityOS will not be liable for indirect, incidental, or consequential damages, or for losses arising from a transaction between users.
13. Indemnification
You agree to indemnify CommodityOS against claims arising from your use of the platform or breach of these Terms.
14. Termination
We may suspend or terminate access for breach of these Terms, unlawful use, or failed verification. You may close your account at any time.
15. Governing law
These Terms are governed by the laws specified in your order or organization agreement with CommodityOS, without regard to conflict-of-law principles, unless otherwise required by local law.
16. Changes to these terms
We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance.
